1. Acceptance of Terms

By downloading, installing, or using PaletteFrame (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. License Grant

2.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on macOS devices that you own or control for your personal or internal business use.

2.2 License Restrictions

You may not:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or disassemble the App (except where permitted by law)
  • Remove, alter, or obscure any proprietary notices on the App
  • Rent, lease, sell, sublicense, or distribute the App to third parties
  • Use the App for any illegal or unauthorized purpose
  • Circumvent any technological measures in the App

2.3 Open Source Components

The App includes FFmpeg libraries licensed under the GNU Lesser General Public License (LGPLv3). You may access the source code and licensing information for FFmpeg as required by the LGPL. FFmpeg license information is included with the App.

3. Ownership and Intellectual Property

3.1 App Ownership

The App, excluding open-source components, is owned by PaletteFrame and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

3.2 Your Content

You retain all rights to the video files you process and the exported images you create using the App. We do not claim any ownership of your content. The App processes your content entirely locally on your device.

4. Privacy

Your use of the App is subject to our Privacy Policy. By using the App, you acknowledge that:

  • All video processing happens locally on your device
  • We do not collect, store, or transmit your personal information or video files
  • The App operates entirely offline

5. System Requirements

The App requires:

  • macOS 15.0 (Sequoia) or later
  • 8GB RAM (recommended)
  • Apple Silicon or Intel processor
  • Sufficient storage space for video processing and exports

You are responsible for ensuring your system meets these requirements. We are not liable for performance issues on incompatible systems.

6. Acceptable Use

6.1 Permitted Use

You may use the App to:

  • Process video files you own or have permission to use
  • Extract color palettes for personal or commercial projects
  • Export and share the generated palette images

6.2 Prohibited Use

You may not use the App to:

  • Process copyrighted video content without proper authorization
  • Engage in any illegal activities
  • Violate the intellectual property rights of others
  • Interfere with the operation of the App

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of results
  • Uninterrupted or error-free operation

We do not warrant that:

  • The App will meet your specific requirements
  • The App will work with all video formats or codecs
  • All defects will be corrected
  • The App is free of viruses or harmful components

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALETTEFRAME SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Service interruptions or data loss
  • Damages resulting from your use or inability to use the App
  • Any damages arising from processing or exporting video content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP (IF ANY).

9. Indemnification

You agree to indemnify, defend, and hold harmless PaletteFrame from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you process using the App

10. Updates and Modifications

10.1 App Updates

We may release updates, upgrades, or patches to the App from time to time. You may need to update the App to continue using it. Updates may be delivered through the Mac App Store or other distribution methods.

10.2 Terms Updates

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the App after changes constitutes acceptance of the modified Terms.

11. Termination

11.1 Termination by You

You may stop using the App at any time by uninstalling it from your device.

11.2 Termination by Us

We may terminate or suspend your access to the App at any time, with or without notice, for any reason, including violation of these Terms.

11.3 Effect of Termination

Upon termination:

  • Your license to use the App immediately terminates
  • You must cease all use of the App and delete all copies
  • Provisions that by their nature should survive will continue (e.g., warranties, liability limitations)

12. Export Controls

The App may be subject to export control laws. You agree not to export, re-export, or transfer the App in violation of any applicable laws or regulations.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved in the courts of California.

14. Dispute Resolution

14.1 Informal Resolution

14.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California.

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive your right to participate in class actions or class-wide arbitration.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PaletteFrame regarding the App and supersede all prior agreements and understandings.

18. Apple App Store Terms

If you download the App from the Apple Mac App Store, you acknowledge that:

  • These Terms are between you and PaletteFrame, not Apple
  • Apple has no obligation to provide support for the App
  • Apple is not responsible for any claims relating to the App
  • Your use of the App must comply with the Mac App Store Terms of Service
  • Apple and its subsidiaries are third-party beneficiaries of these Terms
